SAMPLE DATA ROOM (PRIVATE EQUITY)

Data rooms are essential technology tools that enable managers to share information in a confidential manner with prospective investors. Data rooms, with strong access controls, allow for sharing of confidential or proprietary information that would be necessary to convince an LP to allocate capital while simultaneously protecting them from wide dissemination or misuse. Some of the commonly included documents in a private equity data room are listed in the following table. While most of the elements are common between the two, there are some differences. If specific information is requested by more than one investor, we err on the side of adding it to the data room as a show of transparency to investors.

SAMPLE DATA ROOM (HEDGE FUNDS)

The data room for hedge funds are similar to private equity funds, but some strategy-specific elements (such as long and short attribution for long-short hedge funds) are required for completeness.
